The deal, in words you can hold us to

Who this is between

UViral is operated by TheXMedia Inc., a company in Ontario, Canada. In this document we means that company and you means the person or business holding the account. If you are signing up for an employer, you are confirming you are allowed to bind them.

You need to be at least 16 to hold an account.

What the product does

UViral indexes public short-form posts that beat a view threshold set for their niche, and lets you read a transcript of one or turn it into a script. That is the whole offer. It is a research tool, and the work of deciding what to post and making it is still yours.

Plans and what each one carries

Free, $0

Three tracked accounts, a weekly refresh, the last 30 days of the library, and three scripts a month.

Creator, $20 a month

Fifteen tracked accounts, a daily refresh, the full permanent library, and fifty scripts a month.

Limits are enforced by the product, not by trust, and they reset with your billing month. Prices are in US dollars and exclude any tax we are required to add. If we change what a plan costs, you get notice by email before it applies to you, and you can cancel instead.

Billing, renewal and cancellation

• A paid plan bills monthly through Stripe and renews on its own until you cancel.
• You can cancel any time from the billing page. Cancelling stops the next charge; it does not refund the current month.
• After you cancel you keep paid access until the end of the period you already paid for, then drop to Free.
• If a payment fails, Stripe retries it. If it keeps failing, the plan lapses to Free and your data stays where it is.

Refunds

There is a Free plan so you can find out whether this works for you before paying, which is why we do not run a general refund window. If you were charged for something you did not use because the product was broken, email us and we will sort it out.

Disputing a charge with your bank instead of emailing us costs us the amount plus a fee, and we will suspend the account while the dispute runs. Ask for a refund first. We answer.

What you may not do with it

• Share one account between people. A seat is a person.
• Resell, redistribute or republish the library, in whole or in part, as your own dataset or product.
• Automate the product with scripts or bots, or work around the plan limits.
• Use it to harass a creator, or to copy anyone’s video, voice or likeness rather than learn from it.
• Break the rules of Instagram, Facebook, TikTok or any other platform while acting on what you find here.

We can suspend an account that does any of this. Suspension is reversible and we will tell you why. We keep termination for cases that are deliberate, repeated or illegal.

Who owns what

Your account and your content

Yours. The handles you track and the notes you keep are your business.

A script you generate

Yours to use, including commercially. We claim no rights over it and no credit for it.

The library and the product

Ours. The index, the thresholds, the interface and the code stay with us, and your subscription is permission to use them, not a transfer.

The original posts

Their creators’. We index public facts about a post and transcribe what is said in it. Nothing here gives you a licence to the underlying video.

Scripts are a starting point, not a clearance

A generated script is produced by a model from a transcript of somebody else’s public post. Two things follow, and both are on you.

• Check the facts. If a script states a rate, a rule, a price or a legal position, verify it before you post. This matters most in mortgage, real estate, immigration, insurance and health, where a wrong number in a reel is a regulatory problem and not just an error.
• Make it yours. A structure is not protected, a script that reproduces someone’s wording is. Use what you find to write your own.

You are responsible for what you publish. We are not your compliance review.

What we do not promise

• That anything you post will perform, go viral, or earn you a single view. Nobody can promise that, and a threshold met by somebody else is evidence, not a forecast.
• That the service is never down. We run on infrastructure we do not own and we do not offer an uptime guarantee on any plan.
• That the platforms keep letting us read public data at the same rate, or at all. If a platform closes a door, some of the product changes.
• That a transcript is perfect. Speech recognition on multilingual audio gets things wrong, which is why the original post is linked on every row.

The service is provided as it is. To the extent the law allows, we exclude implied warranties of merchantability and fitness for a particular purpose.

Liability, and the honest limit of it

If we cause you a loss, what we owe you is capped at what you paid us in the 12 months before it happened. On the Free plan that figure is zero, which is the trade for it being free.

We are not liable for lost profits, lost followers, lost work, or a post that underperformed. None of this limits liability we are not allowed to limit, including for our own fraud.

Ending it

You can delete your account whenever you want, from the account page. It takes effect at once and takes your tracked accounts, scripts and style profile with it.

We can end this agreement with 30 days of notice, or immediately if you breach it in a way that is deliberate or illegal. If we end it without cause while you are paid up, we refund the unused part of the month.

Changes to these terms

We will post the new version here with a new date, and email account holders when a change affects what you pay or what you are allowed to do. Continuing to use the product after that means you accept it. If you do not, cancel and the old terms govern the period you already paid for.

Law and disputes

This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, and the courts of Ontario have jurisdiction. Before filing anything, email team@thexmedia.com. Most of what reaches a lawyer should have been a reply.
